TERMS OF USE
These terms of use (including all other terms, policies, notices and guidelines referenced herein or otherwise available on the Platform or by hyperlink) (“Terms”) govern your use of the website and mobile applications operated by Lionize (Private) Limited, a company incorporated under the laws of the Islamic Republic of Pakistan and operating under the brand name “Sauce” (referred to as “Sauce”, “we”, “us” or “our”) (collectively the “Platform”). The “Services” we provide or make available include (a) the Platform, and (b) the restaurant discovery, table reservation, loyalty and promotional services provided through the Platform. Any new features added to the Services are also subject to these Terms.
Please read these Terms carefully. By accessing and using the Platform, you agree that you have read, understood and accepted these Terms and consent to the processing of your personal data in accordance with our Privacy Policy. If you do not agree with these Terms, please do not access or use the Platform or the Services.
The Platform may be used by natural persons who have reached 18 years of age. Users below the age of 18 must obtain consent from a parent or legal guardian, who by accepting these Terms agrees to take responsibility for that user’s actions and any charges associated with their use of the Platform.
Sauce reserves the right to change or modify these Terms at any time. It is your responsibility to review these Terms regularly. You will be deemed to have agreed to the amended Terms by your continued use of the Platform following the date on which the amended Terms are posted.
All photographs and images of restaurants, dishes and venues shown on the Platform are for illustrative purposes only and may differ from the actual premises, dishes or presentation.
1. Sauce
1.1 Who we are
1.1.1 The Platform is owned and operated by Lionize (Private) Limited, a private limited company incorporated in Pakistan under the Companies Act, 2017, and registered with the Securities and Exchange Commission of Pakistan. These Terms form a contract between you and Lionize (Private) Limited.
1.2 What we do
1.2.1 Through our Platform, Sauce enables you to discover restaurants (“Restaurant Partners”), reserve a table at a Restaurant Partner (“Reservation”), and access loyalty rewards and promotional offers. Restaurant Partners are independent businesses owned and operated by third parties.
1.2.2 Sauce is a technology platform only. We do not prepare, cook, handle, store or serve food or beverages. We do not own, operate, manage or control any Restaurant Partner. We do not employ, train, supervise or direct any Restaurant Partner staff. We do not set menu prices, portion sizes, opening hours, or any aspect of how a Restaurant Partner conducts its business.
1.2.3 When you make a Reservation through the Platform, you enter into a direct contract with the Restaurant Partner for the supply of food, beverages and dining services. Sauce is not a party to that contract. Sauce acts solely as a facilitator, introducing you to the Restaurant Partner and administering the Reservation on its behalf.
1.2.4 Sauce does not process or collect payment of your restaurant bill. Your bill is settled directly with the Restaurant Partner at its premises using the Restaurant Partner’s own point of sale system.

2. Use of the Platform and Sauce Account
2.1 You will need to register for a Sauce account to use the Platform. When you register, we will ask you to provide personal information including your name, a valid email address, a mobile phone number and a unique password. To make a Reservation, you may need to provide payment card details. Your password should not be shared with anyone and you agree to keep it confidential at all times. You are solely responsible for keeping your password safe. Save for cases of fraud or abuse which are not your fault, you accept that all Reservations placed under your Sauce account are your sole responsibility.
2.2 Sauce shall not be liable for Reservations that encounter issues due to incomplete, incorrect or missing information provided by you. You are obliged to provide information that is complete, accurate and truthful, including your contact details, party size and any dietary requirements.
2.3 If you wish to delete your Sauce account, you may do so through the Platform or by contacting us. We may restrict, suspend or terminate your Sauce account and/or your use of the Platform if we reasonably believe that:
2.3.1 someone other than you is using your Sauce account;
2.3.2 you are suspected or discovered to have been involved in any activity or conduct that is in breach of these Terms, our policies and guidelines, or which we deem in our sole discretion to be an abuse of the Platform; or
2.3.3 you have repeatedly failed to honour Reservations made through the Platform.
3. Restrictions
3.1 Activities prohibited on the Platform
The following is a non-exhaustive list of conduct that is prohibited on the Platform. Sauce reserves the right to investigate and take appropriate legal action against anyone who, in Sauce’s sole discretion, engages in any of the prohibited activities. Prohibited activities include, but are not limited to:
3.1.1 using the Platform for any purpose in violation of applicable laws or regulations, including any false, deceptive, misleading or fraudulent purpose;
3.1.2 creating multiple accounts, or creating accounts using false identities, in order to obtain rewards, points, discounts or promotional offers to which you are not entitled;
3.1.3 making Reservations with no genuine intention of attending, including Reservations made to block availability at a Restaurant Partner;
3.1.4 posting any content that infringes the intellectual property rights, privacy rights, publicity rights or any other rights of any party;
3.1.5 posting content that is unlawful, obscene, defamatory, threatening, harassing, abusive, hateful or embarrassing to any other person or entity;
3.1.6 posting reviews or ratings that do not reflect a genuine dining experience, or posting reviews in exchange for payment or benefit;
3.1.7 harvesting or otherwise collecting information about other users, Restaurant Partners or creators without their consent;
3.1.8 harassing, threatening, stalking or abusing any person on the Platform or at the premises of any Restaurant Partner;
3.1.9 scraping, copying, reverse engineering, decompiling or reselling any part of the Platform; or
3.1.10 encouraging other people to engage in any prohibited activities described herein.
3.2 Our rights
Sauce reserves the right but is not obligated to do any or all of the following:
3.2.1 investigate an allegation that any content posted on the Platform does not conform to these Terms and determine in its sole discretion to remove or request the removal of the content;
3.2.2 remove content which is abusive, illegal or disruptive, or that otherwise fails to conform with these Terms;
3.2.3 suspend or terminate a user’s access to the Platform or their Sauce account upon any breach of these Terms; and
3.2.4 monitor, edit or delete any content on the Platform.
4. Intellectual Property
All trademarks, logos, images and service marks displayed on the Platform or in our marketing material, whether registered or unregistered, are the intellectual property of Sauce and/or third parties who have authorised us to use them (collectively the “Trademarks”). You may not use, copy, reproduce, republish, upload, post, transmit, distribute or modify these Trademarks in any way without our prior express written consent. Use of any materials on the Platform is at your own risk.
5. Reservations
5.1 Making a Reservation
5.1.1 When you make a Reservation, you will be shown the Restaurant Partner, date, time, party size and the applicable Reservation Deposit or card authorisation before you confirm. A Reservation is confirmed only when you receive confirmation through the Platform.
5.1.2 Availability displayed on the Platform reflects the table inventory that a Restaurant Partner has made available to Sauce and may change at any time. Sauce does not guarantee that any particular date, time or table will be available.
5.1.3 You are required to review and confirm that all information you provide, including date, time, party size, occasion and any dietary requirements, is true, accurate and complete before confirming your Reservation.
5.2 Reservation Deposits and card authorisations
5.2.1 Reservations are secured by either (a) a reservation deposit paid by you at the time of booking (“Reservation Deposit”), or (b) a pre-authorisation hold placed on your payment card (“Authorisation”). Which applies depends on the Reservation type and is disclosed to you before you confirm.
5.2.2 The Reservation Deposit is applied toward your restaurant bill when you attend. It is not a fee payable to Sauce and is not consideration for any service provided by Sauce.
5.2.3 An Authorisation reserves credit on your payment card but does not charge it. Where you attend your Reservation, the Authorisation is released and no amount is charged. Where you fail to attend, the Authorisation may be captured in accordance with clause 5.5.
5.2.4 The applicable Reservation Deposit or Authorisation amount is set by reference to the Restaurant Partner’s venue classification and the size of your party, and is displayed to you before you confirm.
5.3 Table hold period
5.3.1 Your table is held by the Restaurant Partner for a period of thirty (30) minutes from your Reservation time (“Hold Period”).
5.3.2 If you are running late, you may notify the Restaurant Partner through the Platform during the Hold Period.
5.3.3 If you have not arrived and have not notified the Restaurant Partner within the Hold Period, the Restaurant Partner is entitled to release your table and the provisions of clause 5.5 shall apply.
5.3.4 If you arrive after the Hold Period has expired and a table is available, the Restaurant Partner may seat you at its sole discretion. Sauce has no control over and accepts no responsibility for that decision.
5.4 Cancelling a Reservation
5.4.1 You may cancel a Reservation at any time through the Platform. Refund entitlements on cancellation are set out in our Refund and Exchange Policy, which forms part of these Terms.
5.5 Failure to attend
5.5.1 Where you fail to attend a Reservation and have not cancelled it in accordance with clause 5.4, or have not arrived within the Hold Period, you shall forfeit the Reservation Deposit, or the Authorisation on your card may be captured, as applicable (a “No-Show”).
5.5.2 Where a No-Show occurs, the forfeited amount is retained as compensation for the unfilled table and distributed in accordance with the terms of the applicable Restaurant Partner agreement.
5.5.3 Repeated No-Shows may result in increased Reservation Deposits, restrictions on your account, or suspension or termination of your account in accordance with clause 2.3.
5.6 Cancellation by a Restaurant Partner
5.6.1 A Restaurant Partner may cancel a Reservation, including by reason of closure, private hire, emergency or circumstances beyond its control. Where this occurs, we will notify you as soon as reasonably practicable and refund any Reservation Deposit in full in accordance with the Refund and Exchange Policy.
5.6.2 A refund of your Reservation Deposit is the full extent of Sauce’s liability in respect of a Reservation cancelled by a Restaurant Partner. Sauce shall not be liable for any other cost, loss, expense or inconvenience arising from such cancellation, including travel costs, time, or loss of enjoyment.
6. Allergens and Dietary Requirements
6.1 The Platform permits you to record allergies, dietary requirements and preferences on your profile and to include them with a Reservation. Where you do so, Sauce transmits that information to the relevant Restaurant Partner as a convenience.
6.2 Sauce is not obligated to provide ingredient or allergen information on the Platform, and does not guarantee that any food or beverage supplied by a Restaurant Partner is free of any allergen.
6.3 If you have any allergy, allergic sensitivity or dietary restriction, you must inform the Restaurant Partner directly before ordering, on every visit. Sauce cannot verify that information transmitted through the Platform has been received, read, understood or acted upon, and has no control over ingredients, preparation methods, substitutions or cross-contamination at a Restaurant Partner’s premises. Sauce accepts no liability whatsoever for any allergic reaction or adverse dietary effect.
7. Restaurant Partner Information
7.1 Menus, prices, photographs, descriptions, opening hours, cuisine classifications and other information relating to Restaurant Partners displayed on the Platform are supplied by the Restaurant Partner or compiled from publicly available sources.
7.2 Sauce does not warrant or represent that such information is accurate, complete or current. Prices and menus are set by the Restaurant Partner and may change without notice. The Restaurant Partner’s own information shall prevail over anything displayed on the Platform.
7.3 Prices displayed on the Platform are in Pakistani Rupees (“PKR”) and are subject to applicable taxes. Prices charged at a Restaurant Partner may differ from those indicated on the Platform.
8. Prices, Fees and Payments
8.1 Amounts payable by you to Sauce through the Platform comprise:
8.1.1 Reservation Deposits, which are applied toward your restaurant bill and are not a fee payable to Sauce;
8.1.2 the Membership subscription fee, where you elect to subscribe under clause 10; and
8.1.3 a booking fee, where applicable, charged in respect of certain Reservations and disclosed to you before you confirm.
8.2 All fees payable to Sauce are displayed to you before you confirm a Reservation or subscription. When you confirm, you agree to all amounts and the final total displayed.
8.3 Sauce does not process, collect or receive payment of your restaurant bill. Your bill is settled directly with the Restaurant Partner. Any dispute concerning your restaurant bill is a matter between you and the Restaurant Partner.
8.4 If you choose to pay using an online payment method, payment shall be processed by our third party payment service provider, which is licensed by the State Bank of Pakistan or is an authorised payment gateway. With your consent, your payment information may be stored with our third party payment service provider for future transactions. Sauce does not store your full payment card number.
8.5 You must ensure that you have sufficient funds available on your card or account to complete a transaction. Sauce reserves the right to offer additional payment methods and to remove existing payment methods at any time in its sole discretion.
8.6 Sauce takes responsibility for payments made on the Platform to Sauce, including refunds, chargebacks and cancellations, where reasonable and justifiable and in accordance with these Terms and the Refund and Exchange Policy.
9. Rewards, Discounts and Promotional Offers
9.1 From time to time, Sauce may offer loyalty points, rewards, membership tiers, limited-time table offers (“Flash Tables”), creator campaign codes, and other promotional offers to be used on the Platform (collectively “Offers”).
9.2 Offers are subject to validity periods, redemption periods, use restrictions, availability limits and eligibility criteria. All Offers are made available on a first-come basis and while capacity lasts.
9.3 Offers may not be valid when used in conjunction with other promotions, discounts or offers, including discounts offered by banks or other third parties. Where you elect to use a third party discount, Sauce rewards will not apply to the same Reservation.
9.4 Points and rewards accrued on the Platform have no cash value, are non-transferable, non-exchangeable and cannot be redeemed for cash. They are forfeited if your account is closed, suspended or terminated.
9.5 Sauce may withdraw, amend or alter the terms of any Offer at any time without prior notice, and may void, discontinue or reject the use of any Offer without prior notice, including where Sauce suspects any violation of applicable laws or any fraudulent or abusive transaction.
9.6 Discounts offered by banks or other third parties in respect of a Restaurant Partner are provided by that bank or third party and not by Sauce. Their terms, eligibility criteria, discount caps and availability are determined entirely by the bank or third party and the Restaurant Partner. Sauce displays such offers for your convenience only and accepts no responsibility if a discount is refused, capped, varied or withdrawn.
10. Membership
10.1 Where available, you may choose to subscribe to Sauce membership, a paid monthly subscription programme (“Membership”). Membership benefits are described on the Platform and may be varied from time to time.
10.2 Membership renews automatically each month until cancelled by you. You may cancel Membership at any time through the Platform.
10.3 On cancellation, your Membership continues until the end of the subscription period already paid for. Membership fees are not refunded on a pro rata basis for any part-month.
10.4 Sauce may vary the Membership fee on prior notice. If you do not accept a variation, you may cancel your Membership before the varied fee takes effect.
11. Creator Codes and Referrals
11.1 Certain Reservations may be made using a code or referral link issued to a content creator engaged by Sauce (“Creator”). Use of such a code does not alter your contract with the Restaurant Partner or with Sauce, and does not entitle you to any benefit beyond the Offer disclosed at the time of booking.
11.2 Creators are independent third parties. Their opinions, reviews, recommendations and content are their own. Sauce does not endorse, verify or accept responsibility for any statement made by a Creator concerning any Restaurant Partner or in general.
12. User-Generated Content
12.1 By submitting any review, rating, comment or photograph (collectively “Content”), you confirm that such Content reflects your genuine and direct experience of the relevant Restaurant Partner.
12.2 You retain ownership of your Content and grant Sauce a non-exclusive, royalty-free, worldwide licence to display, reproduce, adapt and use that Content on the Platform and in our marketing materials.
12.3 Sauce may reject, remove or decline to publish Content where it contains personal data of third parties, is unlawful, defamatory, discriminatory or offensive, is unrelated to the relevant Restaurant Partner, breaches these Terms, or is otherwise prohibited under applicable law. Moderation decisions are applied in a consistent and non-discriminatory manner.
13. Representations, Warranties and Limitation of Liability
13.1 Representations and warranties
You acknowledge and agree that the content on the Platform is provided on an “as is” and “as available” basis, and that your use of or reliance upon the Platform and any content, services or Reservations obtained through it is at your sole risk and discretion. While Sauce makes reasonable efforts to ensure the Platform is available at all times, we do not warrant or represent that the Platform shall be provided in a manner which is secure, timely, uninterrupted, error-free or free of technical difficulties, defects or viruses. Temporary interruptions may occur due to scheduled maintenance, downtime attributable to internet or electronic communications, or events of force majeure.
13.2 Restaurant Partner liability
13.2.1 Restaurant Partners are solely responsible for the preparation, condition, quality, safety and hygiene of all food and beverages served to you, and for the conduct of their premises, their staff and their service.
13.2.2 Sauce shall not be liable for any act or omission of a Restaurant Partner. Sauce does not assume any liability for the quantity, quality, condition or other characteristics of food, beverages or services provided by a Restaurant Partner, and does not guarantee the accuracy or completeness of any information displayed in respect of a Restaurant Partner.
13.2.3 Without limiting the generality of the foregoing, Sauce shall not be liable for:
- the quality, taste, temperature, portion size or presentation of any food or beverage;
- food poisoning, illness, allergic reaction, or any injury or harm arising from any food or beverage consumed;
- the standard of service, the conduct of staff, or waiting times at any Restaurant Partner;
- cleanliness, hygiene, noise, temperature, seating, ambience or any other condition of the premises;
- accidents, injury, theft or loss of belongings occurring at a Restaurant Partner’s premises;
- a Restaurant Partner closing, altering its menu, altering its hours, refusing entry, or ceasing to trade;
- a Restaurant Partner failing to honour a Reservation, seating you late, or releasing your table; or
- any dispute between you and a Restaurant Partner, including any dispute concerning your bill.
13.2.4 Nothing in these Terms shall exclude a Restaurant Partner’s own liability for death or personal injury arising from its gross negligence or wilful misconduct.
13.3 Limitation of liability
13.3.1 To the extent permitted by law, Sauce (which shall include its employees, directors, agents, representatives and affiliates) excludes all liability, whether arising in contract, in negligence or otherwise, for loss or damage which you or any third party may incur in connection with the Platform, the Services, or any Reservation made through the Platform.
13.3.2 Where Sauce is found liable to you for any reason connected with these Terms, Sauce’s total aggregate liability shall not exceed the greater of (a) the total fees paid by you to Sauce in the three (3) months preceding the event giving rise to the claim, or (b) the value of the Reservation Deposit relating to the Reservation in question.
13.3.3 Sauce shall not be liable for any indirect, special, incidental, consequential or exemplary damages, including loss of profits, loss of data, loss of goodwill, loss of enjoyment, travel costs, or the cost of alternative arrangements.
13.3.4 Nothing in these Terms shall exclude or limit Sauce’s liability for fraud, or for death or personal injury caused by Sauce’s own negligence, or any other liability which cannot lawfully be excluded or limited under the laws of Pakistan.
14. Indemnity
You agree to indemnify, defend and hold harmless Sauce, its officers, directors, employees and agents from and against any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising out of or in connection with your:
14.1 use of the Platform;
14.2 use of the Services;
14.3 breach of these Terms; or
14.4 violation of any applicable law or the rights of any third party.
15. Personal Data Protection
You agree and consent to Sauce collecting, using, processing and disclosing your personal data in accordance with these Terms and as further described in our Privacy Policy. The Privacy Policy is incorporated by reference into these Terms and is accessible on the Platform.
16. Third Party Links and Websites
The Platform may contain links to third party products, websites, services and offers. By clicking on such links you do so at your own risk. These third party links, products, websites and services are not owned or controlled by Sauce. We do not control or endorse them and shall not be responsible for their content, functionality, security, services, privacy policies or other practices. We accept no liability for any loss or damage suffered by you in relation to your access and use of such third party links and websites.
17. Termination
Sauce has the right to terminate, suspend or delete your account and your access to or use of the Platform, for any reason, including without limitation if Sauce in its sole discretion considers your use to be unacceptable, or suspects or discovers that you have been involved in any activity or conduct in breach of these Terms. Sauce may, but shall be under no obligation to, provide you with a warning prior to such termination.
18. Amendments
Sauce may amend these Terms at any time in its sole discretion, and the amended Terms shall be effective immediately upon posting, subject to applicable laws. It is your responsibility to check these Terms regularly. If you do not agree with the amended Terms, whether in whole or in part, you must stop using the Platform immediately.
19. Severability
If any provision of these Terms is found to be invalid by any court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any provision in these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
20. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Sauce may assign or transfer its rights and obligations under these Terms to any affiliate or successor entity upon notice to you.
21. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. The courts at Islamabad shall have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms and your use of the Platform.
22. Prevailing Language
In the event of any dispute as to these Terms, the English language version shall prevail and shall control in all respects in case of any inconsistency with any translated version.
23. Entire Agreement
These Terms, together with the Privacy Policy and the Refund and Exchange Policy, constitute the entire agreement between you and Sauce in respect of your use of the Platform and supersede all prior agreements, representations and understandings.
